IMPORTANT - READ CAREFULLY This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Wipeout Media for the Teacher's Companion software accompanying this EULA. 1) GRANT OF LICENSE This EULA grants you the following rights: a) INSTALLATION & USE You may install and use an unlimited number of copies of Teacher's Companion. b) REPRODUCTION & DISTRIBUTION You may reproduce and distribute an unlimited number of copies of Teacher's Companion; provided that each copy shall be a true and a complete copy, including all copyright and trademark notices, and shall be accompanied by a copy of this EULA. Copies of Teacher's Companion may not be distributed for profit either on a standalone basis or included as part of your own product. 2) COPYRIGHT Teacher's Companion is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Therefore, you must treat Teacher's Companion like any other copyrighted material. All title and copyrights in and to Teacher's Companion (including but not limited to any images and text incorporated into Teacher's Companion), as well as any copies of Teacher's Companion are owned by Wipeout Media. 3) NO WARRANTY You acknowledge that Teacher's Companion may not satisfy your requirements or be free from defects. Teacher's Companion is provided "as is" without warranty of any kind. Wipeout Media expressly disclaims all implied warranties, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. Furthermore, there is no warranty against interference with your enjoyment of the software or against infringement of third party rights by Teacher's Companion. 4) DISCLAIMER OF LIABILITY In no event shall Wipeout Media be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of Teacher's Companion, even if advised of the possibility of such damage.
